- woodman: $CORZ - the market appears to like the terminated deal.
- joelsg1: @Auto $CRWV They will need to replace the $CORZ capacity from somewhere.
- kenb: $CRWV $CORZ merger terminated. No position in either. The board of data-center infrastructure provider Core Scientific said that it had failed to get shareholder approval for its merger with CoreWeave and that the deal has been terminated. The merger drew the ire of several large Core Scientific shareholders, including Two Seas Capital , which filed a proxy in opposition to the merger in September, and has remained vocal on the subject since then. Two Seas and other large shareholders told Barron's that they liked the merger in principle -- a vertical integration with a customer buying a supplier -- but that the price was too low. The all-stock deal was structured with too much uncertainty, they said.

- woodman: $CORZ - is hanging in there still, now an ath. I continue to hold this from end of July. Not a large position, but has been worth holding onto.

- joelsg1: $CORZ Largest non-index shareholder files proxy opposing $CRWV deal as inadequate.
- woodman: @joelsg1 $CORZ $CRWV - getting interesting.
- kenb: @joelsg1 $CORZ $CRWV I remember you previously posting about this. Do you still think they are both buys, or only $CORZ?
- joelsg1: @kenb $CORZ $CRWV Neither right now. At the present .1235 conversion ratio, $CORZ is trading $2 above the deal price with $CRWV at $123. I do think the deal gets sweetened, but not that much. I'm in $IREN and $CIFR instead, better prospects and charts.
- kenb: @joelsg1 $CORZ $CRWV $IREN $CIFR thanks for the explanation. This type of arbitrage confuses me so I am better off not getting involved.

- joelsg1: $CORZ Took a near double on Friday's $13 calls. Will look to reenter arbitrage trade on $CRWV acquisition though Kerrisdale short report makes some good points re $MSFT, see below. https://www.kerrisdalecap.com/wp-content/uploads/2025/09/Kerrisdale-CoreWeave.pdf
- kenb: @joelsg1 $CORZ $CRWV $MSFT wow, that is one scathing report. What jumps out to me is that $MSFT accounts for 70% of revenue and chose $NBIS for expansion. Though that could be as simple as it states "Microsoft’s push to diversify and de-risk its supply chain." When I worked in IT, upper management did the same thing and not want to put all our eggs in one basket. No positions other than $MSFT as this plays out.
- joelsg1: @kenb $CORZ $CRWV $MSFT $NBIS "De-risk" is popular Wall St. jargon now, and re E forecasts it means basically assigning a zero value to whatever component so the only surprises are to the upside.
- woodman: @joelsg1 $CORZ $CRWV $MSFT $NBIS - so many shenanigans.
- joelsg1: $CORZ Jefferies raises to $22, potential exchange ratio increase in $CRWV acquisition, and perhaps $CRWV bottomed. Long.
- joelsg1: $CORZ Added as $CRWV lockup expiry now seems frontrun.
- kenb: $CRWV lockup expired yesterday after market closed and seems to be bouncing at the $100 psychological level. I'm thinking selling might be done and initiating a position as a low-risk entry. Have not pulled the trigger yet and might wait to Mon when we are past monthly options expiry. $CORZ is already up 5% as well.
- djgustoso: @kenb $CRWV $CORZ I like the idea, I'll wait to see how it acts on Monday, I feel like there's no rush to get into stocks that have fallen this much... As @Dan says we don't have to be the first ones out of the foxhole
- joelsg1: @djgustoso $CRWV $CORZ Same, but in $CORZ.
- joelsg1: @traderbren $CRWV There are lots of ways for affected insiders to protect shares besides selling them using quasi-illegal (but who's going to enforce standards?)derivative and private market collar strategies, and with this nearly back to what I think is important $100 level, we're going to find out tomorrow what the 'new normal' is with lockup shares. I'm out of everything but looking to reenter $CORZ next week.
- traderbren: @joelsg1 $CRWV $CORZ - Agreed. I will be out of my short by end of day. I was looking for the 100 marker, but it may be finding some interim support here.
- woodman: @joelsg1 $CRWV $CORZ - Thanks for your thoughts. I'm watching $CORZ to possibly buy back as well. I sold my $CRWV in early July, and sold most of my CORZ on 8/12 and the remainder on 8/13. So, I'm currently on the sidelines for both.
- joelsg1: $CORZ Up while its suitor $CRWV is down. Susquehanna filed that it owns 6.2% of $CORZ, per rules means it passed 5% within 10 days of filing. So either they in for the arbitrage or perhaps to vote to sweeten the $CRWV exchange ratio. Back in Sept. $13 calls.
- joelsg1: $CORZ Trimmed Friday's $13 calls for 25% gain into $CRWV E tonight, they're joined at the hip.
- woodman: @joelsg1 $CRWV - Are you holding $CORZ shares through earnings? You probably have cushion with your options trades.
- joelsg1: @woodman $CRWV $CORZ Just itm calls, did add a few $CRWV spreads now with a cushion. But quick leash tomorrow if this one goes due to that lockup ending Thurs. close.
- Vcondry: @joelsg1 $CRWV $CORZ oh thanks for the reminder almost forgot about the lockup.
- woodman: @joelsg1 $CRWV $CORZ - ditto what @Vcondry said re lock-up reminder.
- woodman: @joelsg1 $CRWV $CORZ - I sold 60% of my $CORZ position right before the close. I have no CRWV position.
- joelsg1: $CRWV E tomorrow, implied move about $23, still playing the $CORZ arbitrage, where disgruntled shareholders filed proxy trying to juice exchange ratio for merger. $NBIS moved up sharply after its E last Thursday, expecting $CRWV to follow.
- ReneeH: @joelsg1 $CRWV $CORZ $NBIS holding $CRWV here, +19% profit, selling calls into earnings fwiw. Ok either way +/-
- woodman: $CORZ out of a base.
- joelsg1: @ReneeH $CRWV In $CORZ for the arbitrage.
- woodman: @joelsg1 $CRWV $CORZ - I followed you into CORZ within that base. I have accumulated a healthy position at this point.
- joelsg1: @woodman $CRWV $CORZ If deal closed today, $CORZ at $14.67 and sweetener potential.
- Vcondry: @joelsg1 $CRWV $CORZ $CRWV looking great here congrats to anyone still in it
- woodman: @vcondry $CRWV - $CORZ is the $CRWV arbitrage play that @joelsg1 has talked about. It is consolidating at the 50 day, and the BBs are tight relative to past BB widths for this one. I've been accumulating in this area.
- vcondry: @woodman $CRWV $CORZ If my reading comprehension is correct currently its priced around fair value of about $14 based on $CRWV stock price but if $CRWV rockets than the actual payout to $CORZ holders could be way higher like $20 as much as $40 per share?
- woodman: @vcondry $CRWV $CORZ - I'd let @jolesg1 speak directly to this, but my understanding is that CORZ shareholders are holding out for a better deal because they believe the deal undervalues CORZ and could result in them receiving a reduced return, particularly because the value of CRWV has fallen by over 30% since the announcement. This would result in CORZ shareholders owning less than 10% of the combined company. Some are reportedly are considering voting against the merger unless the terms are revised. CORZ is a big part of CRWV's business. So, stay tuned!
- joelsg1: $CRWV Everyone's waiting for the turn, but not quite yet. Did more work on the lockup which I think expires 8/14. It may be that the lockup was front-run by insiders using some kind of collar strategy (which might be illegal but not enforced) and using proxies like $NBIS and thus what should be a sell becomes a do nothing or buy. Long the arbitrage $CORZ because I think these guys really want the deal and might sweeten if $CORZ shareholders revolt.
- woodman: @joelsg1 $CRWV $NBIS $CORZ - This lockup expiration date of 9/24 provided by the Nasdaq site is wrong? https://www.nasdaq.com/market-activity/ipos/overview?dealId=1079716-113203
- joelsg1: @woodman $CRWV $NBIS $CORZ I think so. Normal lock up expires 6 months from IPO but lockups are set by the underwriters and there are indications it's tied to first E which is 8/12 plus 2 trading days.
- woodman: @joelsg1 $CRWV $NBIS $CORZ - Okay, now I see this: https://sherwood.news/markets/why-coreweave-announcing-the-date-of-its-q2-earnings-actually-matters/ Search Labs | AI Overview CoreWeave's lockup expiration date is expected to be around September 24, 2025, or potentially earlier if it coincides with the second trading day after the company publicly announces its Q2 2025 earnings, which was on August 12, 2025. This date marks when the lockup period for insiders expires, and they will be able to sell their shares on the open market, which could increase the free float and potentially impact the stock's trading volume and volatility.
- joelsg1: @woodman $CRWV $NBIS $CORZ Right, from the IPO prospectus.
- joelsg1: @woodman $CRWV $NBIS $CORZ Most people don't know this so there may be an edge here, but not sure how to play it.
- woodman: @joelsg1 $CRWV $NBIS $CORZ - What's the timeline for the CORZ deal?
- joelsg1: @woodman $CRWV $NBIS $CORZ Supposed to be by year end. There is grumbling among $CORZ shareholders about the deal ratio given the recent drop in $CRWV stock, but though CRWV might sweeten don't think they want delay.
- woodman: @joelsg1 $CRWV $NBIS $CORZ - Thanks.
- woodman: @joelsg1 $CRWV $NBIS $CORZ - I'll take a shot at CORZ starter here at the 50d.
- joelsg1: @woodman $CRWV $NBIS $CORZ I do think that's the play.
- woodman: $CORZ @joelsg1 - seeing a bit of action this morning. Move up through the 8dEMA....
- Henry: @woodman $CORZ Faber says shareholders are unhappy with the deal.
- woodman: @Henry $CORZ - ... and $CRWV still getting hammered. I have no position in either one.
- joelsg1: @Henry $CORZ Could sweeten the ratio for $CORZ shareholders, but note my post yesterday about $CRWV lockup expiring 2 days after E.
- joelsg1: $CRWV Holding the 50d. Barclay's raises to $140. At that price, $CORZ deal price $17.29, 25% upside. And could go higher. I'm not normally an arbitrageur but should deal close as expected in Q4, I'll take the 25%. Long $CORZ from below.
- joelsg1: $CORZ Added, I'm an arbitrageur with this one on $CRWV acquisition.
- joelsg1: $CORZ Getting a bounce off that $13 level independent of $CRWV. Assuming the acquisition goes through, current $CORZ at $13.58 presumes closing $CRWV price of about $110, it's $35 above that today. Normally, don't want to play arbitrageur, but this disparity is too great to pass up. $CRWV has tried to buy $CORZ before but was rebuffed so pretty sure they see this deal through. If $CRWV price drops closer to that, then they could renegotiate or back out--I haven't discovered any breakup fee in the deal--but we will have plenty opportunity to adjust trade before then. I'm in with $13 calls starting in Aug.
- Henry: $CRWV $CORZ I got this wrong the other day. There is way more hate of $CRWV than I would have imagined. The experts believe that the price of CORZ is telling us that CRWV will be 113-120 when the deal completes. Usually it works the other way around. Sorry if anyone was mislead. I sold my CORV in pm and will exit CRWV
- joelsg1: $CORZ This is Day 3 of the $CRWV-$CORZ deal announced 7/7. Lesser concern about the effect of Sept. $CRWV lockup expiry based on performance of others similarly situated, plus private and option market available alternatives to insider sales. Still long a few $CRWV itm spreads but more interested in $CORZ closer to that $13 pre-deal level to take advantage of deal arbitrage.
- woodman: @joelsg1 $CORZ $CRWV - CORZ's pullback, so far, is to that old resistance area caused by the gap down in January and the cup that formed subsequently from February to June. Perhaps old resistance will serve as new support.
- joelsg1: @woodman $CORZ $CRWV Opened some Aug. $13 calls.
- Henry: $CRWV $CORZ were higher a couple hours earlier in pm. CRWV CEO was on Cramer. He gets a 'F' for Interviews/Public Speaking. I am long both, bot CORZ on the drop.
- Henry: $CORZ $CRWV both down in pm on the merger news
- Henry: $CORZ $CRWV This is an arbitrage deal now. If they can drive the price of both down by shorting CRWV they can load up on CORZ on the cheap and then cover their shorts. Also once a deal is announced, be it cash or stock,, the acquiring company always trades for less because of the time factor and the risk of the deal collapsing or being blocked by the government.a Cramer jokingly said Lena Kahn would have opposed and deal with two companies named Core
- Henry: $CORZ this could be a 59 min trade. I went long, waiting for he 4th qtr settlement
- Mpower27: @Henry $CORZ $CRWV since $CORZ is the one being bought in an all stock deal of 9b deal and it fell so hard, seems like money doesn’t expect this to happen. Current market cap is about 4.3b. Per Reuters : the offer represents a $20.40 per share. At this moment: 14.35.
- joelsg1: @Vineet $CRWV The initial play is to short $CRWV and go long $CORZ for the arbitrage, about a 25% discount from deal price assumes close by year end.
- woodman: @joelsg1 $CRWV $CORZ - I'll look at that, particularly $CORZ. Thanks.
- joelsg1: @woodman $CRWV $CORZ Still concerned about the September lockup expiration for $CRWV, don't know whether this deal means more shareholders will sell at first opportunity or fewer, my guess is the former so no trades here until that's clear.

By my count, we have six positions on the ATL that are related to Bitcoin. ($BITX $MSTR $MSTX $CORZ $IBIT & $COIN) With that many options, as a member, how should I act? Are some more or less risky? It just made me think, I don't know which ones are best for me and I won't try to get in on every ATL stock. Thanks for everything you do. I am very happy with the services!
